Terms and Conditions

You must be at least 18 years old and legally capable of entering into a binding agreement to use TradeLens.

By accessing or using the Services, you represent and warrant that you satisfy these requirements.

If you use TradeLens on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

TradeLens provides digital software tools designed to help users record, organize, review, and analyze their trading activities.

Depending on the features and subscription plan available to you, the Services may include:

• Trading journals and trade tracking;
• Trading performance analytics;
• Dashboards, reports, and statistics;
• Behavioral and trading pattern analysis;
• Trading plan and rule tracking;
• AI-powered analysis, summaries, and insights;
• Trade import and third-party integration features;
• Screenshots, notes, tags, and other journaling features;
• Public profiles and shareable content features;
• Subscription and account management features; and
• Other features introduced by TradeLens.

We may modify, improve, add, remove, suspend, or discontinue features of the Services from time to time.

We do not guarantee that any particular feature will remain available permanently.

TradeLens is a software and analytics platform.

TradeLens and Axion Tech are not acting as a stockbroker, securities broker, investment adviser, research analyst, portfolio manager, financial planner, exchange, custodian, or other regulated financial services provider through the provision of the Services.

TradeLens does not:

• Execute trades on behalf of users;
• Hold or manage user funds or securities;
• Provide personalized investment recommendations;
• Provide stock tips or trading signals;
• Recommend the purchase, sale, or holding of any security, financial instrument, or investment product;
• Guarantee trading profits or investment returns; or
• Assume responsibility for users' trading or investment decisions.

The Services are provided solely for journaling, analytics, performance tracking, educational, and informational purposes.

Trading and investing involve substantial financial risk and may result in the partial or complete loss of invested capital.

Past performance does not guarantee future results.

Statistics, analytics, reports, behavioral insights, AI-generated outputs, and other information provided through TradeLens may be inaccurate, incomplete, delayed, or unsuitable for your particular circumstances.

You remain solely responsible for evaluating information provided through the Services and making your own trading and investment decisions.

You should obtain independent professional advice where appropriate before making financial, investment, tax, or legal decisions.

TradeLens and Axion Tech are not responsible for trading losses, investment losses, missed opportunities, lost profits, or other financial consequences arising from decisions made using or in reliance upon the Services.

Certain features of TradeLens require users to create an account.

You agree to:

• Provide accurate, current, and complete account information;
• Maintain and update your account information;
• Maintain the confidentiality of your account credentials;
• Use reasonable measures to protect your account;
• Not share, sell, transfer, or allow unauthorized use of your account; and
• Notify us promptly if you suspect unauthorized access or a security breach.

You are responsible for activities conducted through your account, except to the extent such activities result directly from circumstances for which we are legally responsible.

We may require users to verify their email address, identity, or other account information where reasonably necessary for security, fraud prevention, legal compliance, or platform integrity.

TradeLens may offer free features, free trials, paid subscriptions, promotional plans, or other paid services.

Features, prices, subscription periods, billing cycles, and applicable limitations will be displayed at the time of purchase.

By purchasing a paid subscription or service, you agree to pay all applicable charges, taxes, and fees disclosed before completing the purchase.

Access to paid Services is subject to successful payment confirmation.

Certain TradeLens subscriptions may automatically renew at the end of each billing period.

Where automatic renewal applies, you authorize the applicable payment provider to charge the subscription fee using your selected payment method unless you cancel before the applicable renewal date.

Users are responsible for reviewing their subscription status and cancelling subscriptions they no longer wish to renew.

Additional information regarding cancellations and refunds is provided in our Refund and Cancellation Policy.

TradeLens may offer free trials, discounts, promotional subscriptions, credits, or other promotional benefits.

The specific duration, eligibility requirements, limitations, and terms applicable to an offer will be disclosed when the offer is made available.

Unless expressly stated otherwise, promotional benefits:

• Have no cash value;
• Are non-transferable;
• May be limited to eligible users;
• May expire;
• May not be combined with other offers; and
• May be modified or discontinued where permitted by law.

If a free trial automatically converts into a paid subscription, this will be disclosed before the user begins the trial.

Users must cancel before the applicable renewal or conversion date to avoid being charged.

Payments for TradeLens subscriptions and paid Services may be processed by third-party payment service providers.

You agree to provide accurate and complete billing information.

TradeLens does not directly store complete payment card numbers, CVV numbers, UPI PINs, banking passwords, OTPs, or similar payment authentication credentials.

Payment processing may be subject to additional terms and privacy policies of the applicable payment service provider.

We may suspend or restrict access to paid Services where a payment is declined, reversed, charged back, cancelled, or otherwise unsuccessful.

Users may cancel subscriptions in accordance with the cancellation methods made available through TradeLens or by contacting us at support@tradelens.app.

Cancellation generally prevents future renewals and does not automatically entitle users to refunds for payments already made.

Refund requests, refund eligibility, processing timelines, exceptions, and related terms are governed by our Refund and Cancellation Policy.

If there is any conflict between this Section and our Refund and Cancellation Policy regarding refunds or cancellations, the Refund and Cancellation Policy will apply to the extent of that conflict.

You agree to use TradeLens only for lawful purposes and in accordance with these Terms.

You must not:

• Violate applicable laws or regulations;
• Use the Services for fraudulent, deceptive, or illegal activities;
• Attempt to gain unauthorized access to the Services, accounts, systems, servers, or networks;
• Interfere with the security, integrity, availability, or operation of the Services;
• Introduce malware, viruses, malicious code, or other harmful technologies;
• Circumvent access controls, security measures, usage limits, or subscription restrictions;
• Scrape, crawl, harvest, or systematically extract information from the Services without authorization;
• Use automated systems to access the Services in a manner that places unreasonable demands on our infrastructure;
• Reverse engineer, decompile, disassemble, or attempt to discover source code, algorithms, models, or underlying components of the Services except where such restrictions are prohibited by law;
• Copy, reproduce, resell, sublicense, distribute, or commercially exploit the Services without authorization;
• Impersonate another person or entity;
• Upload content that infringes intellectual property, privacy, confidentiality, or other rights;
• Upload unlawful, fraudulent, malicious, abusive, or harmful content;
• Attempt to manipulate, misuse, or abuse AI-powered features;
• Use the Services to develop or train a competing product using unauthorized extraction of TradeLens data, outputs, interfaces, or proprietary materials; or
• Assist another person in violating these Terms.

We may investigate suspected violations and take appropriate action.

"User Content" means trading information, journal entries, notes, screenshots, images, tags, comments, files, data, and other materials submitted, uploaded, stored, generated, or shared by users through the Services.

You retain ownership of your User Content.

By submitting User Content to TradeLens, you grant Axion Tech a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, modify, and otherwise use the User Content solely as reasonably necessary to:

• Provide and operate the Services;
• Process information at your request;
• Generate analytics and AI-powered outputs;
• Maintain and improve platform functionality;
• Prevent fraud and security incidents;
• Provide customer support;
• Comply with applicable legal obligations; and
• Enforce these Terms.

This license continues only for as long as reasonably necessary to provide the Services or fulfill legitimate legal, security, backup, or operational requirements.

We do not acquire ownership of your User Content merely because you use TradeLens.

You are responsible for User Content submitted through your account.

You represent and warrant that:

• You own the User Content or have the necessary rights to submit and use it;
• Your User Content does not violate applicable laws;
• Your User Content does not infringe third-party rights;
• You have obtained any permissions necessary to upload information relating to other persons; and
• Your User Content does not contain malware or malicious code.

We may remove, restrict, or disable access to User Content that violates these Terms, applicable law, or the rights of others.

TradeLens may allow users to create public profiles, publish information, or generate shareable links.

Users are responsible for selecting information they choose to make publicly available.

Publicly shared information may be viewed, copied, stored, indexed, or redistributed by third parties.

TradeLens does not control the actions of third parties who access publicly available User Content.

Disabling a shareable link or deleting public content may not remove copies previously saved, cached, indexed, or redistributed by third parties.

Users must not rely upon trades, statistics, comments, strategies, performance information, or other content shared by other users as financial or investment advice.

TradeLens may provide features powered by artificial intelligence, machine learning models, automated systems, or third-party AI service providers.

AI-powered features may process User Content and other information to generate analytics, summaries, observations, behavioral insights, reports, or other outputs.

AI-generated outputs may:

• Contain errors;
• Be incomplete;
• Be outdated;
• Misinterpret user information;
• Produce inconsistent results; or
• Be unsuitable for a user's circumstances.

You are responsible for independently evaluating AI-generated outputs.

AI-generated outputs do not constitute financial, investment, legal, tax, accounting, or other professional advice.

We do not guarantee the accuracy, reliability, completeness, usefulness, or availability of AI-generated outputs.

TradeLens may provide integrations with brokers, exchanges, trading platforms, payment providers, analytics providers, cloud services, AI providers, or other third parties.

Third-party services are operated independently from TradeLens.

Your use of third-party services may be subject to separate terms, privacy policies, fees, restrictions, and risks.

We do not control and are not responsible for the availability, accuracy, security, performance, content, policies, or practices of third-party services.

We may modify, suspend, or discontinue integrations where a third-party service changes its APIs, access requirements, technical capabilities, terms, or availability.

Except for User Content and third-party materials, the Services and all associated intellectual property are owned by or licensed to Axion Tech.

This includes, where applicable:

• Software and source code;
• Platform architecture;
• Algorithms;
• Databases and data structures;
• Dashboards;
• Interfaces and designs;
• Graphics and visual elements;
• Documentation;
• Text and content;
• TradeLens branding;
• Logos;
• Trademarks;
• Analytics systems; and
• Proprietary technologies.

Subject to compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended purposes.

No ownership rights are transferred to users.

If you voluntarily provide suggestions, ideas, feature requests, recommendations, or other feedback regarding TradeLens, you grant Axion Tech the right to use such feedback without restriction or compensation to you.

You acknowledge that we may develop products, features, or services that are similar to ideas contained in feedback provided by users.

Our collection, use, processing, storage, and sharing of personal information are governed by our Privacy Policy.

By using TradeLens, you acknowledge that your information will be handled as described in the Privacy Policy.

We aim to provide reliable access to TradeLens but do not guarantee uninterrupted, continuous, secure, or error-free operation.

The Services may be unavailable due to:

• Maintenance;
• Software updates;
• Technical failures;
• Internet disruptions;
• Cybersecurity incidents;
• Third-party service failures;
• Changes to integrations;
• Legal or regulatory requirements; or
• Circumstances beyond our reasonable control.

We may modify, suspend, restrict, or discontinue all or part of the Services where reasonably necessary.

Where practicable, we may provide notice of material changes affecting paid Services.

We may suspend, restrict, or terminate access to TradeLens where we reasonably believe that:

• You violated these Terms;
• You engaged in fraudulent, abusive, or illegal activity;
• Your account creates a security risk;
• Payment obligations remain unpaid;
• A chargeback or payment reversal occurs;
• Your use may harm TradeLens, Axion Tech, users, or third parties;
• Suspension or termination is required by law; or
• Continued provision of the Services is no longer reasonably possible.

Where appropriate and reasonably practicable, we may provide notice or an opportunity to address the issue before termination.

Upon termination, your right to use the Services will cease.

Certain provisions of these Terms that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other accrued rights or obligations.

Users may request account deletion using available account settings or by contacting support@tradelens.app.

Account deletion and retention of information will be handled in accordance with our Privacy Policy and applicable law.

Deleting an account does not automatically entitle a user to a refund.

Users should cancel active subscriptions separately before deleting their account to prevent future renewal charges where applicable.

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

We do not warrant or guarantee that:

• The Services will always be available, uninterrupted, secure, or error-free;
• All defects will be corrected;
• Analytics, calculations, reports, or AI-generated outputs will always be accurate or complete;
• Third-party integrations will remain available;
• The Services will meet every user's requirements;
• Use of the Services will improve trading performance;
• Users will earn profits or avoid losses; or
• Information provided through the Services will be suitable for any particular trading or investment decision.

Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded under applicable law.

To the maximum extent permitted by applicable law, Axion Tech, TradeLens, and their owners, employees, contractors, representatives, licensors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or relating to the Services.

This includes, where legally permitted, loss of profits, trading losses, investment losses, lost opportunities, loss of data, loss of business, loss of goodwill, or business interruption.

To the maximum extent permitted by applicable law, our aggregate liability arising from or relating to the Services or these Terms will not exceed the total amount paid by you to TradeLens for the Services during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Axion Tech, TradeLens, and their owners, employees, contractors, representatives, and service providers from claims, liabilities, damages, losses, and reasonable costs arising from:

• Your unlawful or unauthorized use of the Services;
• Your violation of these Terms;
• Your violation of applicable law;
• Your User Content;
• Your infringement of third-party rights; or
• Fraudulent, malicious, or abusive conduct attributable to your account.

We reserve the right to assume control of the defense of any matter subject to indemnification, and you agree to provide reasonable cooperation.

If you believe content available through TradeLens infringes your copyright, trademark, or other intellectual property rights, please contact us at support@tradelens.app.

Your notice should include sufficient information to identify:

• The intellectual property right allegedly infringed;
• The content claimed to be infringing;
• The location of the content;
• Your contact information;
• The basis for your claim; and
• Any additional information reasonably necessary to investigate the complaint.

We may remove or restrict access to content where reasonably necessary to address legitimate intellectual property complaints.

By creating an account or using TradeLens, you consent to receiving electronic communications relating to the Services.

These communications may include:

• Account notifications;
• Security alerts;
• Payment confirmations;
• Subscription information;
• Renewal notices;
• Policy updates;
• Service announcements;
• Customer support communications; and
• Other legally required notices.

Electronic communications may be provided through email, account notifications, or notices displayed through the Services.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

These Terms are governed by and interpreted in accordance with the laws of India.

Subject to applicable consumer protection laws and other mandatory legal rights, courts having competent jurisdiction in Latur District, Maharashtra, India will have jurisdiction over disputes arising from or relating to these Terms or the Services.

Nothing in this Section prevents users from exercising rights available to them under applicable consumer protection laws or other laws that cannot be contractually waived.

We will not be liable for delays or failures in performance caused by circumstances beyond our reasonable control. Such circumstances may include natural disasters, floods, fires, epidemics, pandemics, wars, terrorism, civil unrest, labor disputes, internet failures, telecommunications outages, cybersecurity incidents, government actions, regulatory restrictions, power failures, or failures of third-party infrastructure.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, change in business structure, or transfer of the TradeLens business, subject to applicable law.

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

The affected provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable where permitted by law.

Failure by us to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.

Any waiver must be expressly made by us in writing.

These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Shipping and Delivery Policy, and other policies or terms expressly incorporated into these Terms, constitute the agreement between you and Axion Tech regarding your use of TradeLens.

If additional terms apply to a particular feature, promotion, subscription, or service, those additional terms will also form part of the agreement between you and Axion Tech.

We may update these Terms from time to time to reflect changes in the Services, business operations, legal requirements, technologies, or commercial practices.

Updated Terms will be posted on this page with a revised "Last Updated" date.

Where required by applicable law or where changes materially affect users' rights, we may provide additional notice through email, account notifications, or other appropriate means.

Your continued use of TradeLens after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
