These Terms of Service (“Terms”) govern your access to and use of our website, tradelens.app, mobile applications, and related services, including trade journaling, trade analysis, and sharing features (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and any additional guidelines or rules posted on the Service, which are incorporated by reference.

If you do not agree to these Terms, please do not use the Service. Your continued use of the Service constitutes acknowledgment and agreement to any modifications to these Terms. We reserve the right to update these Terms at any time, with changes posted at tradelens.app/terms-of-service. Your continued use after such changes signifies acceptance of the updated Terms.

2. Description of Service

TradeLens provides a platform for trade journaling, trade analysis, sharing or publishing trades, and related functionalities. You are responsible for providing, at your own expense, all equipment and services necessary to access the Service, including a computer, mobile device, and internet access.

We reserve the right to modify, suspend, or discontinue any part of the Service, including features, at any time with or without notice. We are not liable to you or any third party for exercising this right. Any new features or enhancements to the Service are also subject to these Terms.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account by providing accurate and complete information, including your email, username, and optionally your name and avatar. You agree to maintain and update your registration data to keep it current, complete, and accurate.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us at info@tradelens.app of any unauthorized use of your account or any other security breach. You may not share or transfer your account to another party, and we reserve the right to terminate your account if you do so.

4. Subscriptions and Payments

4.1 Subscription Plans

TradeLens offers subscription-based access to the Service through plans such as Free Trial, Starter, and Pro. Subscriptions are activated upon successful payment or trial activation and may renew automatically until canceled.

4.2 Payment Processing

Payments are processed through third-party payment providers. You agree to provide accurate payment information and authorize us to charge the applicable fees for your chosen subscription plan.

4.3 Free Trial

New users may receive a 7-day free trial with full access to Starter plan features. At the end of the trial, continued access requires a paid subscription. We reserve the right to modify or discontinue the free trial at any time without notice.

4.4 Cancellations and Refunds

You may cancel your subscription at any time through your account settings. TradeLens has a no-refund policy; all payments are final and non-refundable unless required by applicable law. You are responsible for confirming cancellation to avoid continued charges. We are not responsible for charges incurred due to failure to cancel your subscription.

4.5 Price and Plan Changes

We reserve the right to adjust subscription prices or modify plans. Any changes will be communicated in advance via email or through the Service. Continued use after such changes constitutes acceptance of the new pricing or plan structure.

5. Use of Service and Conduct

You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You are solely responsible for the content you post or share through the Service.

You agree not to:

      • Upload, post, or share content that is unlawful, threatening, abusive, defamatory, invasive of privacy, or otherwise violates our policies.

      • Victimize, harass, or intimidate individuals or groups based on religion, gender, sexual orientation, race, ethnicity, age, or disability.

    We do not pre-screen or monitor user-generated content but reserve the right to remove any content that violates these Terms or is deemed harmful, objectionable, or inaccurate. You consent to such removal and waive any claims arising from it. We may terminate your access to the Service for violations of these Terms without prior notice and may cooperate with law enforcement in investigating suspected violations.

    6. Shared Trades and User Content

    6.1 Posting and Sharing

    By posting or sharing content (e.g., trades, comments, or analytics) through the Service, you grant TradeLens an unrestricted, irrevocable, non-exclusive, royalty-free, perpetual, worldwide, and fully transferable, assignable, and sublicensable license to use, copy, modify, publish, distribute, and display such content as necessary to provide the Service. You represent that you own or control all rights to the content you post or that its use constitutes fair use.

    You are solely responsible for ensuring that your content does not violate any third-party rights or nondisclosure agreements. Do not share sensitive personal information, such as social security numbers or credit card details.

    6.2 Indemnification

    You agree to indemnify and hold TradeLens, its affiliates, officers, directors, and employees harmless from any claims, damages, or expenses (including reasonable attorney’s fees) arising from your content, use of the Service, or violation of these Terms.

    6.3 Accessing Shared Content

    You acknowledge that content shared by other users is provided for informational purposes only. We are not liable for any errors, omissions, or damages resulting from your use of or reliance on such content.     All content, including but not limited to dashboards, analytics, designs, code, branding, graphics, and text, available through the Service is owned by TradeLens or its licensors and is protected by copyrights, trademarks, patents, or other proprietary rights. You may use this content only as expressly permitted by the Service. Unauthorized copying, reproduction, modification, or distribution is prohibited and may result in legal penalties.

    TradeLens and its logos are trademarks of TradeLens Technologies. No right to use any TradeLens trademark or name is granted under these Terms.

        • The Service will meet your requirements.

        • The Service will be uninterrupted, timely, secure, or error-free.

        • The results from using the Service will be accurate, reliable, or effective.

        • Any defects or errors in the Service will be corrected.

      You are solely responsible for maintaining the confidentiality of your account password and for all activities conducted under your account. TradeLens personnel will never request your password. You must notify us immediately at info@tradelens.app of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage resulting from your failure to protect your account credentials.

      14. International Use

      Although this site may be accessible worldwide, we make no representation that materials on this site are appropriate or available for use in locations outside the India, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with local laws. Any offer for any product, service, and/or information made in connection with this site is void where prohibited.

      15. Termination

      We may suspend or terminate your access to the Service at our sole discretion, with or without notice, for any reason, including violation of these Terms or suspected fraudulent, abusive, or illegal activity. Upon termination, your right to access the Service ceases immediately, and we may deactivate or delete your account and related data. Subscription fees paid prior to termination are non-refundable unless required by law. We are not liable for any claims or damages arising from such termination.

      These Terms, together with our Privacy Policy and any additional guidelines or rules posted on the Service, constitute the entire agreement between you and TradeLens regarding the Service, superseding all prior agreements. Any attempt to modify these Terms through other documents or agreements is null and void unless agreed to in writing by both parties.

      19. Miscelleneous

        • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and will be construed to reflect the original intent as closely as possible.

        • Non-Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations.

        • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any related rights.

        • Force Majeure: We are not liable for delays or failures in performance due to events beyond our reasonable control, including but not limited to natural disasters, wars, labor disputes, or governmental actions.

        • Prevailing Party: In any action to enforce these Terms, the prevailing party is entitled to recover costs and reasonable attorney’s fees.

        • No Commercial Use: You may not sell, resell, reproduce, or use the Service or its content for commercial purposes without our prior written consent.
